Welcome to AidOS, a product developed by Aseel Technology Corporation. By accessing or using the AidOS platform, you agree to comply with these Terms and Conditions ("Terms"). If you do not agree with these Terms, please refrain from using our services.

General Overview

AidOS is a decentralized aid operating system created by Aseel Technology Corporation. AidOS leverages technology to connect donors, organizations, and partners for impactful initiatives. Through its cost-effective, transparent, and digital platform, AidOS aims to improve conditions in crisis areas and promote sustainability without the need for physical mobilization.

Services Provided

  • Beneficiary Identification: Facilitates the verification and identification of aid recipients.
  • Aid Distribution: Coordinates the distribution of aid to beneficiaries.
  • Aid Tracking & Proof of Delivery: Ensures transparency by tracking aid and providing proof of delivery.
  • Fundraising: Supports crowdfunding campaigns and enables organizations to raise funds for various humanitarian purposes.

1. Account Registration

To use AidOS services, you must register an account by providing the following information:

  • User Information: First Name, Last Name, Email, Password, Profile Photo
  • Organization Information (for organizations): Logo, Organization Name, Country of Operation, Website, Description, and Organization Type

By registering, you agree to provide accurate, up-to-date, and complete information. Failure to do so may result in restricted access to the platform.

2. User Responsibilities

You are responsible for:

  • Providing Accurate Information: You must provide truthful and accurate information during the registration process and keep it updated.
  • Proper Use of the Platform: You agree to use AidOS services only for legitimate, legal purposes and not to misuse or exploit the platform for unauthorized or harmful activities.
  • Security: You are responsible for maintaining the security of your account credentials and notifying AidOS immediately of any unauthorized use of your account.

3. Content Ownership and Licenses

Except for content that is exclusively owned by you, all materials, software, and data on the AidOS platform are the property of AidOS, Aseel Technology Corporation, or their respective licensors. You grant AidOS a license to use, display, and distribute content you upload in connection with the services provided on the platform.

4. Dispute Resolution

Both parties agree to resolve any disputes that may arise in a friendly manner. If a dispute cannot be resolved informally, it will be referred to the appropriate level for resolution as per the escalation procedure.

5. Liability Limitations

To the fullest extent permitted by applicable law, AidOS and Aseel Technology Corporation shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, goodwill, data, or other intangible losses arising out of or in connection with your use or inability to use the AidOS platform.

AidOS provides its services on an "as is" and "as available" basis. We make no warranties or representations of any kind, whether express or implied, regarding the platform's operation, accuracy, reliability, or availability.

AidOS shall not be held responsible for delays, interruptions, or failures resulting from causes beyond its reasonable control, including but not limited to natural disasters, government actions, network failures, or force majeure events.

6. Changes to Terms

We may update these Terms and Conditions from time to time. Any changes will be communicated through the platform or via email. Please review this policy regularly to stay informed about how we protect your data and rights.

7. Termination and Suspension

Aseel reserves the right to remove content, suspend, or terminate your account without notice if you violate these Terms. Termination may occur if:

  • You engage in fraudulent or illegal activities.
  • You violate any of AidOS's platform rules.
  • You fail to comply with data protection and security requirements.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA.

9. Legal Compliance and Regulatory Concerns

AidOS ensures compliance with all applicable data protection laws, including the General Data Protection Regulation (GDPR), Anti-Money Laundering (AML) regulations, and other relevant privacy and legal obligations.

  • GDPR Compliance: AidOS is committed to protecting personal data and ensuring that all processing activities are in compliance with GDPR.
  • AML Policy: AidOS adheres to strict Anti-Money Laundering procedures to prevent illicit activity and maintain transparency in all transactions.

10. Data Privacy, Security, and User Rights

Your privacy is important to us. The use of the platform is governed by our Privacy Policy, which explains what data we collect and how it is used. You have the right to request access to, correction, or deletion of your personal data at any time in accordance with applicable data protection laws.

11. Intellectual Property and Definitions

All content, software, designs, logos, trademarks, and related materials within the AidOS platform are the exclusive property of Aseel Technology Corporation or its licensors. Users may not reproduce, distribute, or create derivative works without written authorization from Aseel.

User-generated content remains the property of the user; however, by uploading or sharing content, the user grants AidOS a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content solely for operational and promotional purposes.

Definitions

  • “AidOS” – The digital humanitarian aid operating system developed by Aseel Technology Corporation.
  • “User” – Any individual or organization using the AidOS platform.
  • “Organization” – Registered entities that use AidOS to manage aid or fundraising campaigns.
  • “Beneficiary” – Verified individuals or groups eligible to receive aid through the platform.
  • “Services” – All features and functionalities provided by AidOS, including aid management, fundraising, and analytics tools.

12. Miscellaneous Provisions

Entire Agreement

These Terms, along with any referenced policies and guidelines, form the entire agreement between you and AidOS. If any provision of these Terms is deemed invalid or unenforceable, the rest of the provisions shall remain in effect.

No Waiver

Failure to enforce any right under these Terms does not constitute a waiver of that right.

Severability

If any part of these Terms is invalid or unenforceable, the remainder of the agreement shall remain valid and enforceable.

Assignment

You may not assign these Terms without Aseel's written consent. Aseel may assign these Terms without restriction.

13. Additional Sections

Platform Fees & Payments

AidOS may charge transaction or platform fees to support the operation and maintenance of its services. Such fees will be disclosed to partners and users prior to confirming a transaction.

Payments processed through third-party payment providers (such as Stripe or PayPal) are subject to their respective terms of service. AidOS is not responsible for any issues, delays, or losses caused by these external providers.

Except as required by applicable law, donations and payments made through AidOS are non-refundable once processed.

Tax & Financial Regulations

Aseel Technology Corporation is not a tax-exempt entity under U.S. law. Therefore, donations made through AidOS may not qualify as tax-deductible contributions unless otherwise stated.

Each organization or user is responsible for complying with their own local tax reporting and financial regulations. AidOS may issue receipts for recordkeeping purposes but makes no representations regarding their eligibility for tax deductions.

User Conduct and Content Guidelines

Users agree to use AidOS responsibly and lawfully. You must not:

  • Use the platform to engage in illegal, fraudulent, or misleading activities.
  • Upload, share, or distribute content that is defamatory, obscene, hateful, or violates the rights of others.
  • Attempt to interfere with the security, functionality, or integrity of the platform.
  • Use AidOS for money laundering, funding prohibited organizations, or other unlawful purposes.

AidOS reserves the right to suspend or terminate accounts that violate these guidelines or applicable laws.
